After the successful incorporation of a company, it issued a certificate of registration, which is called a Company Registration Certificate. What is a Company Registration Certificate?

A certificate of incorporation, also known as a company registration certificate, is a formal document that confirms a company's formation under the Companies Act 2013. It proves that the company is officially registered with the Registrar of Companies. The certificate of incorporation contains important information about the company, such as its name, address, date of formation, activities, and authorized capital.

What is the importance of a Company Registration Certificate?

Company Registration Certificate is important for various reasons as follows:

  • A legal document proving the company’s identity and existence.
  • A corporation is a separate legal entity. As a consequence, the MCA issues a certificate of incorporation that contains a unique Corporate Identification Number (CIN), which serves as the entity’s unique identifier.
  • This certificate proves that the company has registered with the RoC. Consequently, it may begin activities in line with the conditions of the MOA.

The Company Registration Certificate is also necessary for the following reasons:

  • Create a business bank account.
  • To distribute shares to investors
  • Obtaining a loan for the business
  • To sell the firm to a third party

What is the process for obtaining the Company Registration Certificate?

The process of obtaining the Company Registration Certificate is concise and simple:

  • Obtain a Digital Signature Certificate (DSC) from a certified agency. This will allow you to sign electronic documents and forms online.
  • Apply for a Director Identification Number (DIN) from the Ministry of Corporate Affairs (MCA). This is a unique number assigned to each director of a company.
  • Register as a new user on the MCA portal. You will need your DSC and DIN to do this.
  • Complete the company incorporation process on the MCA portal. You will need to fill out various forms and submit the required documents and fees.
  • Establish your company legally by obtaining a Certificate of Incorporation from the MCA. This will confirm your company's name, address, and date of formation.

How to download a Company Registration Certificate?

Steps To obtain certified copies from the Ministry of Corporate Affairs portal (MCA):

  • Step 1: Access the MCA portal with your User ID and Password.
  • Step 2: Navigate to the "Get Certified Copies" option under the "MCA Services" menu (top right, second from the end).
  • Step 3: Enter the CIN or name of the Company whose certified copies you want and choose the Company details.
  • Step 4: Choose the document and the year of filing for which you need the certified copy. It is advisable to check the document through public inspection before proceeding further.
  • Step 5: Specify the page numbers range and the number of copies you want as certified.
  • Step 6: The fee amount and the stamp duty will be displayed. Click "Add to cart."
  • Step 7: You can add more documents if you need more certified copies. Note that you have to add attachments separately, as selecting only the form does not mean that the attachments will also be certified. You have to request certified copies of the attachments separately.
  • Step 8: After selecting the documents, click on "View Payment details."
  • Step 9: Click on "Make payment."
  • Step 10: Pay through any of the available modes, such as Credit Card/Debit card/Internet Banking/NEFT.
